Terms of Service

These Terms of Service ("Terms") govern your use of the FactoryArt multi-tenant inventory & operations platform (the "Service") provided by FactoryArt ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old and authorized to bind your company to these Terms. You are responsible for keeping your password confidential and for all activity under your account.

2. Subscription Plans

The Service is offered on Free, Pro, and Enterprise plans with tier-based limits and features as published in-app. We may change plan pricing or limits with reasonable notice. Trials end on the date displayed in your account; failure to upgrade may restrict access until you do.

3. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, or infringing activity.
• Upload viruses, malware, or content that violates third-party rights.
• Attempt to bypass tenant-isolation, rate limits, or security controls.
• Resell, sublicense, or white-label the Service except as expressly permitted by your plan.
• Reverse-engineer, scrape, or systematically extract the underlying software.

4. Your Data

You retain ownership of the business data you upload to the Service. You grant us a limited license to host, process, and display your data solely to operate the Service for you. You are responsible for the accuracy and legality of the data you submit.

5. Service Availability

We aim to keep the Service available, but we do not guarantee uninterrupted operation. We may schedule maintenance and may suspend access for security or legal reasons. We are not liable for downtime outside our reasonable control.

6. Third-Party Services

The Service integrates with third parties (Google OAuth, Cloudinary, Twilio/WhatsApp, Tally Solutions). Your use of those services is governed by their own terms and privacy policies.

7. Termination

You may cancel your subscription at any time from the Subscription page. We may suspend or terminate accounts that violate these Terms or that remain unpaid past due dates. Upon termination, your data is handled according to our Privacy Policy.

8. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. We do not warrant that the Service will be error-free, uninterrupted, secure, or that defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by law, in no event will FactoryArt, its affiliates, officers, employees, or licensors be liable for indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, or revenues, whether incurred directly or indirectly, arising out of or in connection with the Service. Our aggregate liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold FactoryArt harmless from any claim or demand arising out of your breach of these Terms, your data, or your unlawful use of the Service.

11. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes shall be resolved in the courts located at the registered office of FactoryArt.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after the effective date constitutes acceptance.
